  • ● Shipment tracking and delivery status updates.
  • ● Customisable tracking pages and shipping labels, where available.
  • ● Order, shipment and delivery notifications through supported communication channels.
  • ● APIs and other supported integration capabilities.
  • ● AI Talkbot features for COD order verification, Non-Delivery Report (NDR) follow-ups and post-delivery feedback, where enabled.
  • ● Additional features made available under the applicable plan or written agreement.

Features may vary according to the Subscription Plan, technical compatibility, third-party availability and the terms of any separate agreement.

ATOMS provides software and integration functionality. Unless expressly agreed in writing, the Company does not itself act as a courier, carrier or delivery service provider and does not directly undertake the physical transportation or delivery of shipments.

3. Eligibility and Account Registration

To use ATOMS, you must:

  • ● Be at least 18 years old and legally competent to enter into a binding agreement.
  • ● Have the authority to act on behalf of the business or organisation you represent, where applicable.
  • ● Provide accurate, complete and current registration and business information.
  • ● Maintain valid contact details and update your account information when necessary.
  • ● Use the Platform only for lawful business and operational purposes.

You are responsible for maintaining the confidentiality of your login credentials and for activities performed through your account, except to the extent that unauthorised activity results from circumstances for which the Company is responsible under applicable law.

You must promptly notify us if you suspect unauthorised access to your account or compromise of your credentials.

We may request additional information or verification where reasonably necessary for account security, compliance or service delivery.

4. User Responsibilities

You agree to:

  • ● Use ATOMS in compliance with applicable laws, regulations and these Terms.
  • ● Provide accurate order, shipment, recipient and business information.
  • ● Ensure that you have the necessary rights, permissions and authority to connect your stores, courier accounts and other third-party services.
  • ● Maintain valid courier and store accounts and comply with the applicable terms of those providers.
  • ● Review shipping details, delivery addresses, order values and other material information before confirming relevant transactions.
  • ● Ensure that customer communications are lawful and that any required notices, consents or permissions have been obtained.
  • ● Ensure that information submitted to ATOMS may lawfully be collected, shared and processed for the purposes requested.
  • ● Protect your account credentials, API keys, access tokens and other security-sensitive information.
  • ● Pay applicable Subscription Plan fees and other agreed charges on time.
  • ● Cooperate with reasonable requests necessary to investigate security incidents, technical issues or suspected misuse.

You remain responsible for your products, customer relationships, order fulfilment obligations, refund and return policies, customer support and business operations, except for obligations expressly accepted by the Company in writing.

5. Acceptable Use Policy

You must not use ATOMS to:

  • ● Conduct fraudulent, deceptive, unlawful or misleading activities.
  • ● Impersonate another person, business, courier, government authority or organisation without authorisation.
  • ● Upload, transmit or process information that you are not legally authorised to use.
  • ● Send unlawful, abusive, threatening, unsolicited or otherwise prohibited communications.
  • ● Use AI Talkbot or other communication features to conduct scams, harassment, impersonation or unauthorised outreach.
  • ● Interfere with, disrupt or attempt to gain unauthorised access to the Platform or its infrastructure.
  • ● Introduce malicious software, harmful code or security vulnerabilities.
  • ● Reverse engineer, decompile, copy or attempt to extract the source code of the Platform, except where such restriction is prohibited by applicable law.
  • ● Circumvent account limits, subscription restrictions, security controls or technical safeguards.
  • ● Resell, sublicense or commercially exploit the Services except as expressly authorised in writing.
  • ● Use ATOMS in a manner that infringes the rights of the Company or any third party.

We may investigate suspected violations and may restrict, suspend or terminate access where reasonably necessary to protect the Platform, Users, third parties or comply with applicable law.

6. Courier Accounts and Third-Party Integrations

ATOMS enables Users to connect their own courier accounts, e-commerce stores and other supported third-party services. The availability and functionality of an integration depend on the relevant provider, account permissions, API access, technical compatibility and applicable third-party terms.

You are responsible for maintaining your courier and store accounts, obtaining the necessary authorisations and ensuring that your use of third-party services complies with their terms and policies.

Courier rates, serviceability, pickup availability, shipment acceptance, delivery timelines, cash-on-delivery remittance, returns, claims and other logistics services are governed by the applicable Courier Partner and your arrangements with that provider.

The Company does not guarantee that any particular Courier Partner, store integration or third-party service will remain available, compatible or operational at all times.

Third-party providers may change their APIs, pricing, access permissions, service conditions or technical requirements. Such changes may affect the availability or functionality of the relevant integration.

Where an integration stops working or requires changes because of a third-party modification, additional development or integration charges may apply if agreed with the User.

7. Shipment Processing and Delivery Disclaimer

ATOMS provides tools to support order processing, shipment booking, label generation and tracking through supported integrations. The Company does not guarantee that every order or shipment will be accepted, collected, delivered or returned within a particular timeframe.

Actual shipment execution and delivery depend on the relevant Courier Partner, the accuracy of information supplied, serviceability, operational conditions and other factors outside the Company's direct control.

The User is responsible for verifying shipment details, selecting appropriate courier services and ensuring that shipments comply with applicable laws and the Courier Partner's requirements.

Unless expressly agreed in writing, the Company is not responsible for physical shipment loss, damage, delay, failed delivery, courier charges, courier penalties, return-to-origin charges or disputes arising from the Courier Partner's performance.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

8. AI Talkbot and Automated Communications

Where enabled, ATOMS may provide AI-powered voice and automated communication features for purposes such as COD order verification, NDR follow-ups and post-delivery feedback.

AI Talkbot functionality may depend on third-party telephony, speech-processing, artificial intelligence and communication providers. Availability, call quality, response times and outcomes may vary depending on these providers and other technical conditions.

You are responsible for configuring and using these features lawfully, including ensuring that the purpose, timing, content and frequency of communications comply with applicable laws, customer permissions and relevant provider requirements.

AI-generated responses may be inaccurate, incomplete, delayed or inappropriate in some circumstances. AI Talkbot is intended to support business workflows and should not be treated as a guarantee of customer intent, order authenticity, delivery success or any other outcome.

You remain responsible for reviewing important outcomes, handling escalations and making business decisions that require human judgement.

Unless expressly agreed in writing, the Company does not guarantee any particular reduction in return-to-origin (RTO) rates, increase in delivery success, customer response rate or other commercial result from the use of AI Talkbot.

9. Subscription Plans, Fees and Payments

Access to certain ATOMS features requires a paid Subscription Plan or a separate commercial agreement.

The applicable plan fees, included order volumes, usage limits, additional usage charges, setup fees and optional feature charges will be as displayed on the ATOMS website at the time of purchase or as agreed in writing between the Company and the User.

Unless expressly stated otherwise in the applicable plan or written agreement:

  • ● Subscription fees are payable in advance for the relevant subscription period.
  • ● One-time setup, onboarding, customisation and integration charges may apply.
  • ● Additional orders, usage, premium features, communication services and third-party services may incur additional charges.
  • ● Hosting, SMS, WhatsApp, telephony, AI usage and other external service charges are payable as specified in the relevant plan or agreement.
  • ● Applicable taxes, including GST, will be charged as required by law and as specified in the applicable invoice or commercial agreement.

Payments may be processed through third-party payment providers or by other payment methods agreed with the Company. Such payments may be subject to the relevant payment provider's terms.

You are responsible for paying all undisputed fees by the applicable due dates. Failure to make payment may result in restriction or suspension of paid features after reasonable notice, subject to the applicable agreement and law.

Unless otherwise stated in writing or required by applicable law, fees for services already provided, subscription periods already commenced, setup work completed and usage already incurred are non-refundable.

Any refund, credit or adjustment will be handled in accordance with the applicable plan, written agreement and applicable law.

10. Changes to Pricing and Services

The Company may update its Subscription Plans, features, usage limits and pricing from time to time.

Where a change materially affects an existing paid subscription, we will provide notice through the Platform, registered email address or another appropriate communication channel, where reasonably practicable and as required by applicable law or the relevant agreement.

Unless otherwise agreed, revised prices will apply to new subscriptions or renewals after the effective date of the change, and will not retrospectively alter fees already paid for an existing subscription period.

We may modify, replace, suspend or discontinue a feature where necessary for maintenance, security, technical compatibility, legal compliance or business reasons. Where reasonably practicable, we will provide advance notice of material changes affecting existing Users.

Where a material change substantially affects a paid service, any applicable cancellation, adjustment or refund will be handled in accordance with the relevant agreement and applicable law.

11. Service Availability and Technical Support

We make reasonable efforts to maintain the availability and reliability of ATOMS. However, we do not guarantee uninterrupted, error-free or continuous access to the Platform.

The Services may be temporarily unavailable or limited due to scheduled maintenance, emergency maintenance, technical failures, connectivity issues, security incidents, third-party outages or circumstances beyond our reasonable control.

Features that rely on courier APIs, e-commerce platforms, telephony providers or other third-party services may be affected by the availability and performance of those services.

Technical support, response times, onboarding assistance and service-level commitments will be provided according to the applicable Subscription Plan or separate written agreement, if any.

12. Intellectual Property Rights

The Platform, including its software, source code, design, layout, branding, logos, documentation and other Company-owned materials, is owned by or licensed to ItsEasy Solutions Private Limited and is protected by applicable intellectual property laws.

Subject to these Terms and payment of applicable fees, the Company grants you a limited, non-exclusive, non-transferable and revocable right to access and use the Services for your internal business operations during the applicable subscription period.

Except as expressly authorised in writing or permitted by applicable law, you must not copy, modify, distribute, sublicense, sell, lease, reverse engineer or create derivative works from the Platform.

You retain ownership of the business information, order data, customer information and other content that you lawfully submit to ATOMS. You grant the Company permission to host, process, transmit and use that information only as reasonably necessary to provide, maintain, secure and support the Services, comply with legal obligations and perform the applicable agreement.

You must not use the Company's trademarks, logos or branding without prior written permission, except where expressly permitted by the Company.

Any feedback or suggestions you voluntarily provide about ATOMS may be used by the Company to improve its Services, subject to applicable law and without disclosing your confidential information improperly.

13. Privacy and Data Protection

The Company's collection and processing of personal information in connection with ATOMS is described in the ATOMS Privacy Policy, available on the Platform.

You acknowledge that providing the Services may require the processing of business information, order details, shipment information and End Customer information.

You are responsible for ensuring that you have the necessary rights, notices, permissions or other lawful basis to submit such information to ATOMS and to request the relevant processing.

The Company will process information in accordance with its Privacy Policy, applicable agreements and applicable law.

You must not upload or submit information that you are not authorised to disclose or process through the Platform.

14. Confidentiality

Each party may receive non-public business, technical, commercial or operational information from the other party while using or providing the Services.

The receiving party must use such confidential information only for the purposes for which it was disclosed and must take reasonable steps to prevent unauthorised disclosure.

This obligation does not apply to information that is publicly available through no breach of these Terms, was lawfully known to the receiving party before disclosure, is independently developed without using the confidential information or must be disclosed under applicable law.

Where disclosure is legally required, the receiving party may disclose the information to the extent required by law and, where legally permitted, provide notice to the other party.

15. Representations and Warranties

The Company represents that it is authorised to operate the Services and will provide them in accordance with these Terms and applicable law.

You represent and warrant that:

  • ● You have the legal capacity and authority to accept these Terms.
  • ● The information you provide is accurate and not knowingly misleading.
  • ● You have the necessary rights and authorisations to use your connected accounts and submit information through ATOMS.
  • ● Your use of the Platform will comply with applicable laws and these Terms.
  • ● You will fulfil your payment obligations under the applicable Subscription Plan or written agreement.

Except as expressly stated in these Terms or required by applicable law, the Platform and Services are provided on an “as available” basis. We do not warrant that every feature will meet every business requirement or that the Services will produce a particular commercial result.

16. Limitation of Liability

To the maximum extent permitted by applicable law, the Company will not be liable for indirect, incidental, special, exemplary or consequential losses, including loss of profits, revenue, business opportunities, goodwill or anticipated savings, arising from the use of or inability to use the Services.

Subject to applicable law, the Company is not responsible for losses arising from inaccurate information supplied by the User, unauthorised access caused by the User's failure to protect credentials, third-party service interruptions, courier performance, or the User's failure to comply with these Terms.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross negligence where such limitation is prohibited, or any other liability that cannot lawfully be excluded or limited.

Where permitted by applicable law, any additional limitation or cap on the Company's aggregate liability may be set out in a separate written agreement with the User.

17. Indemnification

You agree to indemnify and hold harmless the Company, its directors, officers, employees and authorised representatives against third-party claims, losses, liabilities and reasonable legal expenses arising directly from:

  • ● Your unlawful use of the Platform or Services.
  • ● Your breach of these Terms or an applicable written agreement.
  • ● Your violation of a third party's rights, including intellectual property or privacy rights.
  • ● Your failure to obtain necessary authorisations for information or communications submitted through ATOMS.
  • ● Your products, business activities, customer commitments or shipping instructions, except to the extent the claim results from the Company's own breach or unlawful conduct.

The Company will provide reasonable notice of a claim for which indemnification is sought, where legally permissible, and reasonable cooperation in its defence. No settlement imposing an admission of liability or non-monetary obligation on the indemnified party may be made without that party's consent.

18. Suspension and Termination

You may request cancellation of your subscription or closure of your account by following the applicable account process or contacting the Company. Any outstanding payment obligations and applicable cancellation terms will continue to apply.

The Company may restrict, suspend or terminate access to the Platform or particular features where reasonably necessary if:

  • ● You materially breach these Terms or an applicable written agreement.
  • ● Your account is used for fraudulent, unlawful or unauthorised activities.
  • ● You fail to pay undisputed fees after applicable notice.
  • ● Your use presents a material security, operational or legal risk.
  • ● Suspension or termination is required by law or a competent authority.
  • ● A relevant third-party service becomes unavailable or prohibits the relevant integration.

Where reasonably practicable, we will provide notice and an opportunity to address the issue before suspension or termination. Immediate action may be taken where necessary to address a security threat, suspected fraud, unlawful activity or legal requirement.

Upon termination, your right to access paid features will end in accordance with the applicable plan or agreement. We will handle account information and deletion requests in accordance with the Privacy Policy, applicable retention requirements and applicable law.

Termination does not automatically remove outstanding payment obligations or provisions that by their nature are intended to continue after termination.

19. Force Majeure

The Company will not be responsible for a delay or failure to perform obligations to the extent caused by circumstances beyond its reasonable control, including natural disasters, fire, flood, epidemic, war, civil disturbance, government action, power failure, telecommunications disruption, cyberattacks or widespread third-party infrastructure outages.

The affected party will take reasonable steps to reduce the impact of the event and resume performance when reasonably practicable. This section does not excuse payment obligations for Services already provided.

20. Amendments to These Terms

We may update these Terms to reflect changes in the Services, business operations, security practices or applicable legal requirements.

The revised Terms will be published on the ATOMS website with an updated effective date. Where required by applicable law or an existing agreement, we will provide notice of material changes or obtain any required acceptance.

Your continued use of the Services after revised Terms take effect will constitute acceptance only to the extent permitted by applicable law. If you do not agree to a material change, you should discontinue use of the affected Services and contact us regarding any applicable cancellation rights.

21. Governing Law and Jurisdiction

These Terms will be governed by the laws of India.

Subject to applicable law, courts of competent jurisdiction at Gautam Buddha Nagar, Uttar Pradesh, India, shall have jurisdiction over disputes arising from these Terms or the use of ATOMS.

Nothing in this section limits any mandatory rights or remedies available under applicable law.

22. General Provisions

Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

No waiver: A failure or delay in exercising a right under these Terms does not constitute a waiver of that right.

Assignment: You may not transfer your rights or obligations under these Terms without the Company's prior written consent, except where such restriction is prohibited by applicable law. The Company may assign these Terms as part of a merger, restructuring or transfer of the relevant business, subject to applicable law.

Entire agreement: These Terms, the Privacy Policy and any applicable written agreement form the agreement governing your use of ATOMS, subject to the precedence provisions stated in Section 1.

Independent parties: These Terms do not create a partnership, joint venture, employment relationship or agency relationship between the Company and the User.
